Please read these Terms carefully before using our Website and Services

These Terms of Service ("Terms") govern the contractual relationship between the company (hereinafter referred to as "OnlineIDE PRO", "us", "we", or "our") and each client, student, individual, entity, user or visitor (hereinafter referred to as "you" or "your") (i) accessing the website located at https://onlineide.pro (hereinafter referred to as the "Website"), and/or (ii) using the Services (as defined under Section 2 of these Terms). You and OnlineIDE PRO shall also hereinafter be referred to together as the "Parties" and individually as a "Party". Please read these Terms carefully before using the Website and Services. Your access to the Website and your use of the Services (defined below) are conditioned upon your acceptance of and compliance with these Terms.

1. Acceptance and Modification of Terms

By accessing the Website and by using the Services (as defined below) you agree to be bound by these Terms and accept to comply with all applicable laws and regulations. Should you disagree to be bound by these Terms, in whole or in part, you shall (i) not be permitted/authorized to use the Services (defined below), and (ii) refrain from accessing/using the Website and Services.

Your continued use of the Website and Services shall be deemed to constitute your acceptance of these Terms.

We reserve the right, at any time and in our sole discretion, to modify or replace these Terms by providing notice that these Terms have been modified.

2. Services

OnlineIDE PRO provides you, through the Website, with the following services:

  • An advanced online integrated development environment (IDE) that enables you to:
    • Write and execute code in multiple programming languages
    • Access real-time code compilation and execution
    • Utilize intelligent code auto-completion
    • Benefit from syntax highlighting and error detection
    • Choose between multiple themes for comfortable coding
  • Collaborative development tools including:
    • Code sharing capabilities
    • Project saving and management
  • Additional development features such as:
    • File management system
    • Custom input/output functionality
    • Split screen editing
    • Integrated terminal access
  • Access to our online community where you can:
    • Connect with other developers
    • Share code snippets and solutions

3. User Registration, Login Credentials and Security

In order to use the Services, you must first register with us through our online registration process, by providing all required information which shall include but not be limited to your full name and email address.

An account shall thereafter be opened by us, in our sole discretion, for you on the Website ("User Account").

Each User Account is personal, non-transferable, and may only be registered and used by one (1) single individual/entity.

4. Subscription Plans, Fees, Payment Method and Taxes

We offer various subscription plans on the Website that enables you to use the Services ("Subscription Plans").

Your use of the Services shall be billed on a recurring and periodic basis ("Billing Cycle"). Billing Cycles may be set on a monthly or yearly basis.

At the end of each Billing Cycle, your Subscription Plan will automatically renew under the exact same conditions unless cancelled.

5. Refund Policy

We may, at our sole discretion, provide a refund for the Services subscribed by you on the Website, subject to the following conditions:

  • You are eligible for a refund if the request is made within fourteen (14) calendar days from the commencement of your selected initial Subscription Plan.

To request a refund, please send an email to our support team.

For the avoidance of doubt, if you are outside the fourteen (14) calendar days refund window, you shall not be eligible for a refund under any circumstances.

6. Acceptable Use of the Website and the Services

You may not use the Website and/or the Services to transmit, distribute, store or destroy any material or information in violation of any applicable law or regulation.

When accessing the Website and/or the Services, you shall be prohibited from:

  • Using any device, software or the like to interfere with the proper functioning of the Website and/or Services
  • Taking any action that imposes an unreasonable or disproportionately large data load on the infrastructure
  • Copying, reproducing, altering, modifying, creating derivative works without prior written consent
  • Accessing non-public areas of the Website and/or the Services
  • Attempting to probe, scan, or test the vulnerability of any system or network
  • Reverse-engineering or attempting to discover any source code
  • Using any robot, spider, or automated device to monitor or copy content
  • Uploading viruses or malicious code
  • Interfering with or disrupting the access of any user, host or network

7. No Provision of Professional Advice

The Services and any opinions, advice, statements or other information available on the Website, are provided for informational and educational purposes only.

We shall not be responsible for the accuracy, usefulness or availability of any information transmitted via the Website and/or the Services.

We are not a business consultant or advisor and have no intention of providing you with any legal, tax, financial, trading, business or investment advice.

8. Monitoring of the Website and the Services

You acknowledge and agree that we may:

  • Monitor or review the Website and/or Services to verify your compliance with these Terms
  • Report your actions to law enforcement authorities if necessary
  • Manage the Website in a manner which protects our rights and facilitates proper functioning

9. Intellectual Property

All content, Online Courses, videos, trademarks, logos, data, software, or information contained in any materials are the sole and exclusive property of or are licensed to us.

You may not reproduce, distribute or copy the Materials by any means without our prior written permission.

All intellectual property rights in the Materials, Website and the Services vest solely and exclusively in us, our group affiliates, licensors or vendors.

10. Feedback

Any suggestions, comments, or other feedback provided by you will constitute confidential information.

We will be free to use, disclose, reproduce, license, and otherwise distribute and exploit the feedback as we see fit, without obligation or restriction.

11. User Content

You retain all of your rights to any information that you submit through the Services.

You grant us a worldwide, non-exclusive, royalty-free right to use, copy, store, transmit, and display User Content to provide the Services.

We do not provide an archiving service. You are solely responsible for maintaining backups of User Content.

12. Disclaimer of Warranties

The Services shall be provided "as is" and "as available" with all faults, defects, bugs, and errors.

We make no representations about the suitability, accuracy, reliability or completeness of the information contained on the Website.

We do not warrant that the Services will meet your requirements or that access will be uninterrupted, timely, secure or error-free.

13. Indemnification

You agree to indemnify and hold us harmless from any liability arising from:

  • Your violation of these Terms
  • Your use or misuse of the Services
  • Your access and participation in the Services
  • Your infringement of any third party's intellectual property rights

14. Limitation of Liability

We shall not be responsible or liable for any indirect, special, incidental, consequential, exemplary, liquidated or punitive damages.

Our liability to you for any cause whatsoever shall be limited to the total amounts paid by you to us for the Services in the previous three (3) months.

The Website may contain links to third-party websites or resources.

We are not responsible for the availability or accuracy of such websites or resources.

Your interactions with any third party found through the Website are solely between you and such third party.

16. Privacy Policy

Our Privacy Policy governs the use, storage and processing of the personal information you provide.

Your election to use the Services shall be deemed as your acceptance of the terms of our Privacy Policy.

We use "Cookies" to identify the areas of our Website that you have visited.

Most web browsers can be set to disable Cookies, however, this may affect functionality.

Third-party websites accessible via our Website may also use Cookies over which we have no control.

18. Suspension and Termination

We may suspend or disable access if:

  • We suspect you of partaking in any illegal activity
  • We believe you have violated these Terms
  • Required by law enforcement or government agencies

You may cancel your Subscription Plan at any time, but no prorated refunds will be issued.

19. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Federal Democratic Republic of Nepal.

The Courts located within Nepal shall have exclusive jurisdiction to settle any disputes.

Both Parties submit to the exclusive jurisdiction of said Courts.

20. General Provisions

These Terms represent the entire agreement between the Parties.

No assignment of rights under these Terms is permitted without prior written consent.

Any notices should be sent to our support email.

If any provision is found to be unenforceable, the remaining provisions shall remain valid.
